General Terms & Conditions
Assignments and Scope of Services
Each assignment is agreed upon seperately. Manta acts as an independent advisor and designates a responsible expert for every engagement. The scope of advice is defined by the assignment and is based on Finnish law unless otherwise stated. our advice may not be relied upon for any other purpose without our prior written consent. All requests for our services should relate to areas such as (1) data, information, and digitalization regulation, (2) information- and cybersecurity, and (3) research and development.
Client Information and Conflicts of Interest
Before accepting an assignment, we verify client identity and check for potential conflicts of interest as well as applicable anti-money laundering legislation. Manta reserves the right to decline or withdraw from an engagement if conflicts arise or if sufficient identification information is not provided.
Fees and Expenses
Our fees are based on time spent, complexity, urgency, and expertise required. Upon request, we may provide non-binding estimates based on information available at the time. VAT and administrative costs may be added to the invoice. Payment terms are 30 days net from the invoice date, unless stated otherwise on the invoice. Interest is charged on late payments as permitted by law.
Confidentiality and Data Protection
All client information is treated as confidential and handled in accordance with Finnish law and general industry practice. We may be legally required to disclose certain information under applicable statutes. More information is available in our Privacy Policy.
Liability
Manta is not liable for indirect, consequential, or incidental losses, such as loss of profit, data, or business opportunity for our clients. The limitation does not apply to losses caused by gross negligence or wilful misconduct. Manta also does not bear liability for services provided based on faulty, inaccurate, or incomplete information given by the client.
Termination of Engagement
Either party may terminate the engagement at any time by written notice. Upon termination, the client is responsible for paying all fees and expenses accrued up to the termination date. Manta may withdraw from an assignment if payment is delayed, conflicts arise, or continuation would breach applicable law or ethical standards.
Governing Law and Dispute Resolution
These Terms & Conditions and all services provided by Manta are governed by Finnish and EU Law. Any dispute arising from these Terms & Conditions or our services shall be finally resolved by arbitration in accordance with the Arbitration Rules of the Finland Chamber of Commerce (FAI).
